1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Student," or "Instructor") and Nerdy Dream Technologies ("Company," "we," "us," or "our"), governing your access to and use of NerdyLMS (the "Platform" accessible at www.ndt.com.ng).

2. Eligibility & Account Responsibilities

• Age Requirement: You must be at least 13 years of age (or the minimum age of legal consent in your jurisdiction) to create an account.
• Account Security: You are responsible for safeguarding your login credentials (or Google OAuth access). You agree not to share your account with others or permit unauthorized access.
• Accurate Information: You agree to provide true, accurate, and current information during registration and keep your profile updated.

3. Course Enrollment & License

When you enroll in a course on NerdyLMS (whether free or paid), you receive a limited, personal, non-exclusive, non-transferable license to access the pedagogical materials (videos, articles, quizzes, projects, and resources) for your personal, non-commercial education.

• Lifetime Access: You receive lifetime access to enrolled course curriculum and downloadable starter kits, subject to platform availability and compliance with these Terms.
• Restrictions: You may not record, redistribute, re-sell, duplicate, or publicly broadcast any course lectures, project assets, or instructor materials without explicit written consent.

4. Payments, Pricing & Refunds

• Course Pricing: Course fees are listed in Nigerian Naira (NGN) and are established exclusively by platform administrators. Promotional pricing and discounts may be offered at platform discretion.
• Secure Processing: All transactions are securely processed via Paystack. By initiating a purchase, you agree to Paystack's terms of service and authorize the charge to your payment method.
• Refund Policy: Because our courses grant immediate access to proprietary digital lessons and starter code, refund requests are evaluated on a case-by-case basis. To request a refund, submit an email to support@ndt.com.ng within 7 days of purchase, provided less than 20% of the course content has been accessed.

5. Instructor Terms & Creator Revenue Sharing

Users verified as Instructors on NerdyLMS agree to the following creator economy terms:

• Content Ownership: Instructors retain copyright in their original lectures and assignments. Instructors grant NerdyLMS a worldwide license to host, stream, and promote the course on the Platform.
• 70/30 Revenue Split: For all paid student enrollments, the instructor receives 70% of net sales, and NerdyLMS retains 30% for hosting infrastructure, video delivery, payment gateway maintenance, and platform services.
• Originality Warranty: Instructors warrant that all uploaded content is original, pedagogically accurate, and does not infringe upon any third-party copyrights or intellectual property.

6. Community Code of Conduct

Users participating in student discussion forums, lecture chat sessions, and Telegram community groups must adhere to professional decorum:

• No harassment, abusive language, hate speech, or discrimination.
• No commercial spam, unauthorized advertising, or promotional solicitation.
• No distribution of malicious code, viruses, or security exploits.
• Violations will result in immediate suspension or permanent account ban without refund.

7. Intellectual Property

The NerdyLMS brand, logo, code, software architecture, UI design system, certificate verification engine, and website content are the exclusive property of Nerdy Dream Technologies. All rights reserved.

8. Certificates of Completion

Certificates generated upon 100% course completion acknowledge participation and mastery of the specified curriculum. Certificates contain cryptographic QR codes for public authenticity verification. NerdyLMS certificates are non-academic credentials unless explicitly certified by an accredited partner.

9. Disclaimers & Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for 99.9% uptime and accurate educational content, Nerdy Dream Technologies disclaims all warranties of any kind, whether express or implied. In no event shall Nerdy Dream Technologies be liable for indirect, incidental, or consequential damages resulting from your use of the Platform.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
